CONDITIONS OF BUSINESS

LSI was
established to provide services relating to the control, inspection,
weighing (including draft surveying), measuring, counting, sampling and
analysis of minerals, metals and related products

The
activities and services provided on any given job will be defined by
specific written instructions supplied by the client(s). LSI will provide
written confirmation of acceptance of such instructions.

LSI will
either specify in advance the fees to be charged for a company's services
in the form of a written quotation or apply a standard fee structure.

LSI will
provide the client with all necessary intermediate information relating to
the progress of operations. For inspection and supervision services, LSI's
responsibilities are limited to observation and advice to clients of the
conditions of materials and cargoes and relevant equipment including
packing, strapping, containers and means of transportation. The LSI role
does not absolve in any way the contractual obligations of the appropriate
parties. Providing LSI has advised the client of relevant circumstances,
LSI will not accept responsibility for materials or equipment that do not
meet either contractual stipulations or custom of the trade.

LSI will
only undertake to provide proper supervision of weighing operations and
cannot accept liability for resultant weights unless weighing equipment
has been calibrated in the presence of LSI personnel.

For weight
determination by draft survey, LSI will ensure that only qualified
surveyors undertake the work. LSI reserves the right to either refuse to
issue a draft survey weight or qualify the figure if either the vessel,
weather conditions or vessel documents are unacceptable.

Clients must
ensure that all relevant parties are made aware of the appointment of LSI
as representative. In the event that, as a result of the client failing to
provide such authority, LSI personnel are unable to gain access to port
facilities warehouses, vessels or other critical locations, LSI shall be
deemed to be indemnified from any liability resulting from occurrences
that take place in the absence of the said LSI personnel.

On the
completion of the services, LSI will issue a formal, signed, stamped
report or certificate whichever is applicable. Such a document will only
be issued to the client or other parties stipulated by the client. At this
stage, LSI will also issue an invoice at agreed rates which is due for
full settlement within thirty days.

LSI
undertakes to exercise professional skill and care in the conduct of work
performed by LSI personnel. LSI, its personnel and/or subcontractors, do
not accept liability for any loss or damage caused directly or indirectly
or arising as a result of slight negligence. In the event that gross
negligence can be proven, LSI, in conformity with the conditions laid down
by the International Federations of Inspection Agencies (IFIA), will
accept liability to a sum up to ten times the professional fee for the job
in question.
